EVENT DESCRIPTION: This is a chance-based sweepstakes beginning at 12:01 AM (ET) on May 17, 2008 and ending at 11:59 PM (ET) on July 31, 2008. (The “Sweepstakes Period”).


ELIGIBILITY: This Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who have reached the age of majority in their jurisdiction of residence at the time of entry. Employees of Sponsor, presenting sponsors, and their respective affiliates, parents, subsidiaries, advertising and promotion agencies involved with this Sweepstakes, and the immediate family members and/or those living in the same household of such persons, are not eligible to enter the Sweepstakes or to win a prize.


1. HOW TO ENTER: Any individual wishing to participate in the Sweepstakes must enter at ourchart.com/contests/lword (“EventSite”), thereby becoming an eligible participant (a “Participant”). Entrance is free and available at the EventSite. Sweepstakes will commence on May 17, 2008 and end on July 31, 2008. As part of the entry process, Participants will be required to click where indicated to signify that they accept and agree to be bound by these Official Rules, the Terms of Service set forth at the EventSite, the Privacy Policy set forth at the EventSite, and the decisions of the judges and the sponsor which are final and binding in all respects. Limit one registration per person. Any individual who attempts to register, or in the sole discretion of Sponsor is suspected of registering more than once, by any means, including but not limited to establishing multiple e-mail accounts, shall be disqualified from the Sweepstakes.


2. SWEEPSTAKES DESCRIPTION: The Sweepstakes is an online chance based sweepstakes in which Participants register at the EventSite for a chance to win a walk-on role on Showtime Networks television show, The L Word ®.


3. WINNER SELECTION: At the conclusion of the Sweepstakes Period, one Sweepstakes Winner will be selected in a random drawing from among all eligible Participants who have entered at the EventSite. The odds of winning depend on the number of eligible Participants. All drawings will be conducted by Sponsor, whose decisions are final and binding on all matters pertaining to the Event.


4. SPONSOR’S RIGHT TO DISQUALIFY: At any time during the Sweepstakes, Sponsor reserves the right in its sole and unfettered discretion to disqualify and remove any Participant that it believes potentially or actually does not meet the Entry Requirements or comply with any other provisions of these Official Rules.


5. PRIZE: The Prize Description and Value is as follows:


One Winner will be awarded. The Winner will receive a walk-on role on The L Word, produced in Vancouver, BC. The Winner may elect to bring a guest (1 guest maximum) to visit the set but the guest will not be able to participate in the walk-on experience. Guest must have reached the age of majority in their jurisdiction of residence at the time of the walk-on. The date for the Winner’s walk-on trip will be between August 4, 2008 and October 1, 2008. The exact dates are TBA; Sponsor will contact the Winner to arrange dates. Winner must be available in Vancouver a minimum of 2-3 week days between August 4, 2008 and October 1, 2008. Winner and guest (if applicable) must have a valid passport to enter Canada. Once the walk-on dates have been arranged, they cannot be altered and failure of Winner to follow such schedule shall not obligate Sponsor in any way to provide the winner with alternate arrangements. The package does not include airfare, hotel, transfers, or any other expenses for either the winner or his or her guest. All expenses not specified herein are the responsibility of the winner. Appearance in the final edit of the show is not guaranteed. Winner and his or her guest (if applicable) must execute an Affidavit of Eligibility, Liability and Publicity Release prior to arrival on set. Failure to execute and deliver such document to Sponsor at least seven (7) days prior to the date of the Winner’s set visit may result in disqualification and selection of an alternate winner. The walk-on experience may not be extended beyond the Sweepstakes Period or rolled over into any other Showtime production. (Approximate Retail Value (“ARV” $0.00)


6. GENERAL RULES: The Sweepstakes is governed by and subject to the laws of the United States. All federal, state and local laws and regulations apply. Void where prohibited by law. All prize Winners will be notified by e-mail at the e-mail address provided on the EventSite during the entry process. Winners must sign and return any applicable documentation deemed necessary by Sponsor, including, but not limited to, all required clearances and releases set forth in the Terms of Use and an Affidavit of Eligibility, Liability and Publicity Release, unless prohibited by law. By entering the Sweepstakes and/or accepting any prize, participants grant permission to Sponsor and its advertising and promotion agencies to use their name, likeness, and any other material submitted to the EventSite for purposes of advertising, publicity and promotion purposes, without further compensation to Participant, unless prohibited by law. Participants agree to be bound by the Official Rules and decisions of the Sponsor, which are final and binding on all matters relating to the Sweepstakes. Sponsor is not responsible for any typographical or other errors in the printing of the offer, administration of the Sweepstakes or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal entries. Participants hereby release and hold harmless Sponsor, and its respective affiliates, agencies, employees, officers, directors, shareholders and agents from any and all claims, demands, losses and liabilities arising out of their participation in the Event and/or the use or acceptance of any prize won.


THIS EVENT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND EXPRESS OR IMPLIED INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.


7. SWEEPSTAKES PARTICIPATION CONDITIONS: As a condition of participating in the Sweepstakes, each Participant further agrees to indemnify and hold harmless Sponsor and its respective affiliates, subsidiaries, licensees and assigns, and their respective officers, directors, employees, agents’ representatives, independent contractors and from and against any and all claims, liabilities (including, but not limited to, attorneys’ fees and disbursements), demands and actions of every kind and nature, whether or not now known or suspected (collective, “Clams”), arising out of or in connection with any breach of Participant of any warranty, agreement or representation contained in the Official Rules or terms of service or in any documentation submitted by Participant. Further, by participating in this Sweepstakes, each Participant hereby releases Sponsor, and its affiliates, subsidiaries, licensees and assigns, and all such parties’ respective officers, and affiliates from any and all liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of our in connection with Participant’s participation in the Sweepstakes or the acceptance of any prize.


8. INTERNET: The Sponsor is not responsible for any electronic transmission errors resulting in any omission, interruption, deletion, defect, delay in operations or transmissions, theft or destruction or unauthorized access to or alterations of any entries/photographs submitted, or for any technical, network, telephone equipment, electronic, computer, hardware or software malfunction or limitations of any kind, or any inaccurate transmissions of or failure to receive entry information on account of technical problems or traffic congestion on the Internet. If for any reason the Internet portion of the Event is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Event, the Sponsor reserves the right in its sole and unfettered discretion to cancel, terminate, modify or suspend the Event and to award any prizes based on entries received prior to termination. THE SPONSOR RESERVES THE RIGHT IN ITS SOLE AND UNFETTERED DISCRETION TO DISQUALIFY ANY PERSON WHO TAMPERS OR IS SUSPECTED OF TAMPERING WITH THE ENTRY AND/OR VOTING PROCESS. CAUTION: ANY ATTEMPT BY PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE, INCLUDING, BUT NOT LIMITED TO, THE EVENTSITE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND/OR OTHER RELIEF FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW.

9. DISPUTES/GOVERNING LAW: Under no circumstances will entrants be permitted to obtain awards for, and each hereby waives, all rights to claim punitive, incidental and/or consequential damages, and/or any other damages, including attorney's fees or other such related costs of pursuing a claim. The Sweepstakes is governed by, and will be construed in accordance with, the laws of the State of California, without regard to the principles of conflict of laws of any jurisdiction and the forum and venue for any dispute shall be in Los Angeles, California. If any controversy or claim arising out of or relating to the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of Los Angeles, and administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (the "JAMS Rules"). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an experienced arbitrator licensed to practice law in California.
